Acceptance of Terms

By signing up for or using Grove Reviews’ services, you ("User" or "You") agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services. Grove Reviews reserves the right to modify these Terms at any time. Your continued use of the service after changes constitutes acceptance of those changes.

Description of Services

Grove Reviews provides a suite of marketing and customer relationship management (CRM) tools designed for beauty professionals, including phone calls, SMS marketing, email marketing, appointment scheduling, marketing automation, and more ("Services"). These Services are accessible through a subscription-based model.

Eligibility

To use our Services, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Services, you represent and warrant that you meet these requirements.

Account Registration

To access the Services, you must create an account. You agree to provide accurate and complete information during the registration process and to keep this information up to date. You are responsible for maintaining the confidentiality of your account login information and are liable for all activities that occur under your account.

Free Trial

Grove Reviews offers a 14-day free trial to new users. The trial period begins on the day you sign up for the Services. During the trial, you can use the features of the selected subscription plan at no cost. At the end of the trial period, your account will automatically convert to a paid subscription plan unless you cancel before the trial expires. Grove Reviews reserves the right to modify or terminate the free trial offer at any time.

Subscription Plans and Billing

Grove Reviews offers various subscription plans. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually) until you cancel your subscription. Prices, features, and billing cycles are subject to change, and we will notify you of any changes.

6.1 Automatic Renewal

Subscriptions automatically renew at the end of each billing cycle unless you cancel your subscription prior to the renewal date. The applicable fee will be charged using the payment method on file.

6.2 Cancellation Policy

You can cancel your subscription at any time through your account settings. Canceling your subscription will stop future charges, but you will not receive a refund for any remaining period on your current billing cycle.

Usage Rules and Prohibited Activities

By using the Services, you agree not to:

Engage in any unlawful or harmful activities, including sending spam, fraudulent communications, or illegal content.

Interfere with or disrupt the Services or servers/networks connected to the Services.

Attempt to reverse-engineer, decompile, or disassemble any part of the platform.

Use the Services for any purpose other than intended by Grove Reviews.

Grove Reviews reserves the right to terminate accounts found in violation of these rules without notice.

Intellectual Property

All content, features, and functionality on the Grove Reviews platform, including but not limited to software, text, graphics, and logos, are the intellectual property of Grove Reviews and are protected by copyright, trademark, and other intellectual property laws. You agree not to copy, modify, distribute, or create derivative works from any part of the Services without our express permission.

Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By agreeing to these Terms, you also agree to our Privacy Policy.

Data and Confidentiality

Grove Reviews respects your data privacy and confidentiality. We do not sell your data to third parties. However, we may use aggregated, non-personal data for analytical and marketing purposes. You are responsible for ensuring the confidentiality of client data you collect through our platform.

Termination

Grove Reviews may suspend or terminate your access to the Services at any time if we determine, at our sole discretion, that you have violated these Terms or if your actions may harm the reputation or operations of Grove Reviews.

Limitation of Liability

To the maximum extent permitted by law, Grove Reviews is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities. Our total liability to you, for any reason, will not exceed the amount you paid for the Services during the three (3) months preceding the incident giving rise to the claim.

Dispute Resolution

In the event of any disputes or claims arising out of or relating to these Terms or your use of the Services, the parties agree to resolve the issue through binding arbitration, conducted in Polk County FL. Both parties will bear their own costs for the arbitration process.

Governing Law

These Terms are governed by and construed in accordance with the laws of Polk County FL, without regard to its conflict of law principles.

Amendments and Modifications

Grove Reviews reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of the Services after changes are posted constitutes acceptance of those changes.

Miscellaneous

If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect. The failure of Grove Reviews to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Grove Reviews Subscription & Billing Policy

This Subscription & Billing Policy ("Policy") outlines the terms and conditions governing subscription payments, billing cycles, and cancellations for the services provided by Grove Reviews ("we," "us," or "our"). By subscribing to our services, you ("User" or "You") agree to comply with this Policy.

Subscription Plans

Grove Reviews offers multiple subscription plans, each providing different levels of access to our services. Details of the subscription plans, including features and pricing, are available on our website at primesalonleads.com.

Free Trial

We offer a 14-day free trial for new users. During the trial period, you will have access to the features of the selected subscription plan at no cost. Upon expiration of the trial period, your account will automatically transition to a paid subscription plan unless you cancel before the trial ends.

2.a Text, Email, and AI Receptionist Rates

Usage rates apply to all accounts, including accounts on a 14-Day Free Trial. Accounts are billed for usage at the end of every billing cycle. The rates are as follows:

AI Receptionist: $0.04 per message. $10 = 250 messages

Email: $0.0014 per email. $10 = 7,145 emails

Making Calls: $0.028 per minute. $10 = 355 minutes

Receiving Calls: $0.017 per minute. $10 = 590 minutes

Sending or Receiving SMS: $0.0158 per segment. $10 = 635 SMS messages

If you cancel your 14-Day Free Trial before the billing cycle ends, your account will be debited for all usage immediately after termination of the trial.

Billing Cycle

3.1 Monthly and Annual Subscriptions

Monthly Subscription: If you choose a monthly subscription plan, you will be billed on a recurring basis every month on the date you initially subscribed.

Annual Subscription: If you choose an annual subscription plan, you will be billed on a recurring basis every year on the date you initially subscribed.

The billing date will be the same day of the month you initially subscribed (or the closest date in subsequent months).

Payment Methods

You are required to provide a valid payment method (e.g., credit card) at the time of subscribing. By providing your payment information, you authorize Grove Reviews to charge your selected payment method for all fees associated with your subscription plan.

Automatic Renewal

All subscription plans automatically renew at the end of the billing cycle (monthly or annually) unless canceled. By subscribing, you authorize Grove Reviews to charge the payment method on file for each renewal period.

Failed Payments

If a payment fails, we will attempt to process it again. If we are unable to successfully charge your payment method after multiple attempts, your account may be suspended, and access to the services may be restricted until the payment issue is resolved. You can update your payment method by accessing your account settings or contacting our support team.

Cancellation Policy

7.1 How to Cancel

You can cancel your subscription at any time by:

7.2 Effective Date of Cancellation

Monthly Subscription: If you cancel a monthly subscription, the cancellation will be effective at the end of the current billing period. You will continue to have access to the services until the billing period ends, but no refunds will be issued for the remaining period.

Annual Subscription: If you cancel an annual subscription, the cancellation will be effective at the end of the current billing year. No refunds will be provided for the remaining period.

Refund Policy

8.1 Refund Eligibility

Grove Reviews does not offer refunds for canceled subscriptions. Once you are billed for a subscription, the payment is non-refundable, and no prorated refunds or credits are offered for partial use of the service.

8.2 Exception: Free Trial Conversion

If you are billed after the expiration of your 14-day free trial and did not intend to continue with a paid plan, you may be eligible for a refund if you contact us within 3 days of the charge. To request a refund, please email our support team at [email protected]

Upgrading or Downgrading Subscription Plans

You can upgrade or downgrade your subscription plan at any time through your account settings.

Upgrade: You will be charged the prorated difference for the upgraded plan immediately, and the new plan will take effect.

Downgrade: The downgrade will take effect at the start of the next billing cycle. No refunds or credits will be provided for the remaining period of your current plan if downgrading.

Price Changes

Grove Reviews reserves the right to change subscription plan prices at any time. Any price changes will be communicated to you at least 30 days in advance. Price changes will take effect at the beginning of the next billing cycle. By continuing to use our services after the price change takes effect, you agree to the new pricing.

Taxes

All subscription fees are exclusive of applicable taxes, levies, or duties. You are responsible for paying any such taxes required by law.

Termination by Grove Reviews

We reserve the right to suspend or terminate your subscription if you violate our Terms of Service or Subscription & Billing Policy, or if you engage in any fraudulent or harmful activity. In such cases, no refunds will be provided.

Grove Reviews End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you ("User," "You," or "Licensee") and Grove Reviews ("we," "us," or "our"), governing your use of our software services, including any related documentation and updates (collectively, the "Software"). By accessing, downloading, installing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not use the Software.

Grant of License

Grove Reviews grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Software solely for your internal business purposes, in accordance with this EULA and any associated documentation.

License Restrictions

You agree not to:

Modify, adapt, alter, translate, or create derivative works based on the Software.

Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software.

Rent, lease, lend, sell, sublicense, or otherwise transfer your rights to the Software to any third party.

Use the Software for any unlawful, fraudulent, or harmful activities, or in a manner that violates any applicable local, state, national, or international law or regulation.

Access the Software to build a competitive product or service.

Ownership and Intellectual Property

The Software, including all related intellectual property rights, is the exclusive property of Grove Reviews and its licensors. This EULA does not grant you any ownership rights to the Software. All rights, title, and interest in and to the Software, including all copyrights, trademarks, and trade secrets, are reserved by Grove Reviews.

Updates and Upgrades

Grove Reviews may, at its sole discretion, provide updates, enhancements, or improvements to the Software, which may be automatically downloaded and installed. Such updates are subject to the terms of this EULA unless accompanied by a separate license agreement. Grove Reviews reserves the right to modify, suspend, or discontinue the Software, or any part thereof, at any time without notice.

Term and Termination

5.1 Term

This EULA is effective from the date you first use the Software and will continue until terminated by either party.

5.2 Termination by User

You may terminate this EULA by canceling your subscription and ceasing all use of the Software.

5.3 Termination by Grove Reviews

Grove Reviews may terminate this EULA at any time if you fail to comply with any of its terms. Upon termination, your license to use the Software will immediately cease, and you must uninstall or delete any copies of the Software.

Support Services

Grove Reviews may provide support services as part of your subscription, which may include troubleshooting, technical assistance, and other customer support features. Such services are provided at our discretion and may be modified, suspended, or discontinued at any time.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. GROVE REVIEWS DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Limitation of Liability

To the maximum extent permitted by law, Grove Reviews and its affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Software. In no event will Grove Reviews' total liability exceed the amount you paid for the Software during the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Grove Reviews, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising out of or in connection with your use of the Software, violation of this EULA, or infringement of any third-party rights.

Data Collection and Privacy

By using the Software, you acknowledge that Grove Reviews may collect, process, and store certain information in accordance with its Privacy Policy, available at primesalonleads.com. You agree to the terms of the Privacy Policy, including how your data is collected, used, and shared.

Governing Law

This EULA shall be governed by and construed in accordance with the laws of FL without regard to its conflict of law principles. Any disputes arising under or in connection with this EULA shall be resolved in the state and federal courts located in FL.

Amendments

Grove Reviews reserves the right to update or modify this EULA at any time. Any changes will be effective immediately upon posting. Your continued use of the Software after any such changes constitutes acceptance of the new terms.

Miscellaneous

Severability: If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions will remain in effect.

Entire Agreement: This EULA constitutes the entire agreement between you and Grove Reviews regarding the use of the Software and supersedes all prior agreements and understandings, whether written or oral.

Waiver: The failure of Grove Reviews to enforce any provision of this EULA shall not be deemed a waiver of such provision or the right to enforce it.

Using the Services to promote or distribute "spam," chain letters, or any other type of unsolicited communications.

1.4 Infringement of Intellectual Property Rights

Uploading, sharing, or distributing content that violates the intellectual property rights of others, including copyrights, trademarks, and patents.

Using the Services to engage in activities that promote the unauthorized sharing of copyrighted material.

1.5 Security Violations

Attempting to gain unauthorized access to the Services or related systems, accounts, or networks.
